01-Who we are

Cipherion, Inc. (“Cipherion,” “we,” “our,” “us”) is a Texas corporation headquartered at 100 Crescent Ct., Suite 700, Dallas, Texas 75201. We provide identity-centric cybersecurity solutions and managed services for business customers.

  • Note: Client services are governed by a separate Master Services Agreement (MSA) and any Statements of Work (SOWs). If there is a conflict, the MSA/SOW controls over these Website Terms.

02-Scope & acceptance

**These Website Terms govern your use of **cipherionai.com and any subpages (the “Site”). By accessing the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

03-Eligibility; B2B focus

The Site is intended for business users. You must be at least 18 years old to use the Site. We do not knowingly provide services to minors.

04-No free services; no professional advice

Information on the Site is for general informational and marketing purposes only and does not constitute security, legal, compliance, or other professional advice. Cipherion does not offer free consulting. Any engagement requires a fully executed MSA/SOW and payment terms.

05-Intellectual property

All content on the Site—text, designs, logos, graphics, videos, documents, and software—is owned by or licensed to Cipherion and protected by law. You may not copy, modify, distribute, mirror, scrape, or create derivative works without prior written consent.

06-Acceptable use

You agree not to:

  • Access or attempt to access non-public areas, systems, or data.
  • Interfere with or disrupt the Site (e.g., DDoS, automated scraping).
  • Upload malware or violate any law (including export control, sanctions).
  • Misrepresent your affiliation or impersonate another person or entity.

07-Third-party links

Links to third-party sites are provided for convenience only. We are not responsible for their content, security, or practices.

08-Feedback

If you submit feedback, ideas, or suggestions, you grant Cipherion a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CIPHERION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE IS ERROR-FREE OR SECURE.

10-Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIPHERION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE/GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED $100.

11-Indemnification

You will defend, indemnify, and hold Cipherion and our officers, employees, and agents harmless from claims, damages, liabilities, costs, and expenses arising out of your use of the Site or breach of these Terms.

12-Export control & sanctions

You represent you are not located in or a resident of any country or on any list where access to the Site or receipt of Cipherion services is prohibited by U.S. law. You will comply with applicable export, import, and sanctions laws.

13-Changes to the Site & Terms

We may modify or discontinue the Site at any time. We may update these Terms by posting a revised version with a new “Last updated” date. Your continued use of the Site after changes means you accept them.

14-Governing law; venue; arbitration

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Except where prohibited, any dispute will be resolved by binding arbitration in Dallas County, Texas, under the Commercial Rules of the American Arbitration Association. You and Cipherion waive class actions. Either party may seek injunctive relief in a court of competent jurisdiction in Dallas County.

Vulnerability Disclosure Safe Harbor

In scope: cipherionai.com and marketing subdomains; Out of scope: customer tenants, third‑party services, social engineering, physical attacks, DDoS.

Rules:

  • Make a good‑faith effort to avoid privacy and service impacts.
  • Do not access or exfiltrate more data than necessary to demonstrate the issue.
  • Give us 90 days to remediate before public disclosure unless mutually agreed otherwise.
  • Provide detailed steps, affected URLs, and proof‑of‑concept.

Safe Harbor: If you comply with this policy, we will not pursue legal action for your research activities related to this policy. This does not waive rights of third parties.

Subprocessors & DPA Summary

Role: When delivering Services under your MSA/SOW, Cipherion may use vetted subprocessors for hosting, ticketing, collaboration, and security monitoring. We maintain:

  • A current Subprocessor List (name, purpose, region)
  • DPA with SCCs/approved transfer mechanisms where required
  • Annual due‑diligence reviews and minimum security controls
